Terms and conditions

These terms and conditions form an integral part of every agreement with MIRA Software, a product of IZIT bv.

1. Application of the conditions

These conditions form an integral part of the agreement. They may only be deviated from in writing.
Unless expressly agreed otherwise, every agreement implies the customer’s acceptance of our conditions and the rejection of their own purchasing and sales conditions.

Our quotations are without obligation and are made without commitment.
Force majeure suspends the proposed delivery periods and does not entitle the buyer to dissolution of the agreement or to compensation.

Delivery takes place at the seller’s premises, unless otherwise agreed in writing.
The goods are transported at the buyer’s expense and risk.
The delivered goods remain our property as long as the full price has not been paid. In the absence of payment of the full invoice amount on the due date, the buyer must, upon simple registered request of the seller, return all delivered goods to us. The shipping costs for this are borne by the buyer. Any advance payment made cannot be reclaimed by the buyer, as it covers the loss incurred on the resale of the products.

Complaints regarding the delivered goods cannot be accepted unless they reach us in writing within seven days of delivery.
A warranty is granted exclusively on products delivered by us. The products to be repaired or replaced must, unless agreed in advance, always be brought or sent to us at the buyer’s risk.

IZIT cannot be held liable with regard to software not developed by us, nor for the loss of data and/or programs as a result of a defect, repair or technical intervention by IZIT bv.
Under no circumstances can IZIT be held liable for losses incurred as a result of malfunctioning software.
The customer is advised to make a full back-up of all data very regularly, and in any case before every intervention by IZIT bv.
The customer is at all times bound to comply with the copyrights applicable to the software supplied.

A warranty is granted exclusively on products delivered by us. The products to be repaired or replaced must, unless agreed in advance, always be brought or sent to us at the buyer’s risk.
Any form of warranty lapses through improper use of the products, the addition or removal of components, lack of supervision or maintenance, the opening of equipment, or earlier interventions or repairs not carried out by us.
Only hardware faults are covered by the warranty. Settings or configuration of software and/or drivers are never covered by the warranty conditions and will therefore be invoiced to the buyer.
When a component or the entire device must be replaced within the warranty period, this will not be invoiced to the buyer. In all other cases it will. The warranty only covers the replacement of a defective component; its reconfiguration will, unless agreed in advance, be invoiced.
IZIT can never be held liable for losses incurred as a result of malfunctioning equipment.

All our invoices are payable at the latest on the due date stated on the invoice.
In the event of non-payment for intangible services or goods such as software, the rental of web space and the like, the buyer loses the right to use them. The seller may unilaterally discontinue the service without prior written notice. In this case the buyer is not entitled to any compensation.
In the absence of payment of the invoice on the due date, the agreement may be dissolved by us by operation of law and by simple registered declaration. All this without prejudice to the payment of compensation by the defaulting buyer.
Every unpaid invoice bears interest of 12% per year from the due date, by operation of law and without notice of default.
If the invoice remains unpaid on the due date, the debt will additionally be increased by 10% of the invoice amount. This serves as fixed compensation for costs other than the loss of interest and the actual legal costs.

All our agreements are governed by Belgian law. Where the customer is a natural or legal person who acquires or uses the products or services exclusively for non-professional purposes, all disputes arising from this agreement will be settled by the court of the consumer’s place of residence. In all other cases, they can only be settled by the court of Dendermonde.
